Public offer for providing a charitable donation
General Provisions
1.1 This public offer for charitable donation (hereinafter referred to as the "Offer") is a proposal of the NGO "New Clymate", located at: Ukraine, Kyiv 02068, 9 Oleksandr Koshytsia St., apartment 21 (hereinafter referred to as the "NGO"), represented by the Executive Director Goman Elena Vyacheslavovna, to an indefinite number of legally capable individuals and legal entities of private law that voluntarily carry out charitable activities (hereinafter each of such persons is a "Donor"), to conclude a charitable donation agreement (hereinafter referred to as the "Agreement") on the terms and conditions described in this Offer with each Donor who applies.

1.2. This Offer is a proposal to conclude a contract under Article 641 of the Civil Code of Ukraine.

1.3. This Offer comes into force from the moment of its publication on the NGO's website on the Internet at https://www.treetr.io (from now on referred to as the "Site"). This Offer is indefinite and may be amended or withdrawn by the NGO at any time (before its acceptance by the Donor) by posting the relevant information on the Site.

1.4. The NGO may conclude contracts for providing charitable donations in a different manner and/or on different terms than those provided in this Offer. A Donor may separately contact the NGO to conclude such a contract.
The subject matter of the Contract
2.1. Under this Contract, the Donor voluntarily and gratuitously transfers monetary funds to the ownership of the NGO as a charitable donation to ensure the statutory activities of the NGO, and the NGO accepts such charitable donation and undertakes to use it for conducting its own charitable activities in accordance with its Charter and Ukrainian legislation.

2.2. The transfer of monetary funds by the Donor under this Contract is considered a charitable donation under Article 6 of the Law of Ukraine "On Charity and Charitable Organizations".

2.3. The donor independently determines the amount of the charitable contribution. The donor has the right to request and receive information from the NGO about the nature and amount of the necessary charitable assistance for specific activities of the NGO, as well as for charitable programs of the NGO, in order to determine the directions of the use of the charitable contribution.

2.4. The conclusion and execution of this Agreement are not intended and do not entail the receipt of profit by either party.
Activities of the NGO
3.1. The main goal of the Organization is to satisfy and protect the legitimate environmental, social, economic, creative, age-related, national-cultural, sports, and other common interests, promote the growth of social and cultural awareness of society, as well as carry out other types of charitable activities in accordance with its Charter.

3.2. The activities of the NGO are not aimed at making a profit.

3.3. The Charter of the NGO, information about its work, and reports on the results of its activities are posted on the website.
Donation and Acceptance of Offer
4.1. The benefactor determines the amount of the charitable donation and makes it by (i) making a money transfer using payment forms and means placed on the Site, or (ii) transferring funds to the current account of the NGO through banking institutions, or (iii) transferring cash to the NGO. Charitable donations are indefinite, and the period of their use by the NGO is not limited.

4.2. In accordance with these Offer and Agreement, charitable donations are provided by Benefactors and used by the NGO for the implementation and provision of charitable activities (implementation of directions, goals of charitable activities and charitable programs) of the NGO in accordance with the Statute and legislation of Ukraine. The Benefactor agrees to the such targeted use of their donation.

4.3. The benefactor also has the right to determine the specific purpose of their donation within the framework of the goals and directions of activities and charitable programs of the NGO by concluding a separate agreement with the NGO regarding the provision of a charitable donation, in accordance with clauses 1.4 and 2.3 of this Offer. If the Benefactor has determined a specific purpose for their donation without prior agreement with the NGO, the NGO has the right to return the such donation to the Benefactor.

4.4. Donated charitable donations are used by the NGO in the order of their receipt.

4.5. When making a donation for proper identification of the payer, the Benefactor indicates their contact information: name and surname, name of the legal entity, email address and/or telephone number, and other data that allow identifying the Benefactor.

4.6. Acceptance of the Offer is considered complete and unconditional by the Benefactor by taking actions to transfer funds of the charitable donation to the NGO using one of the methods specified in paragraph 4.1 above. The Offer is considered accepted and the Agreement is concluded from the date of receipt of funds by the NGO.

4.7. Within 48 hours after the transfer of funds to the current account of the Charity or their receipt in Charity's cash register, the Donor may contact the Charity regarding the return of the donation due to its erroneous transfer or for other reasons. After the expiration of this period, the donation is considered non-refundable and will not be returned to the Charity, except in cases where such a return is required by Ukrainian law or otherwise provided for by this Offer. If the donation was made to the account of the Charity without identifying the payer, and the Charity cannot identify the Donor of the donation, the such donation will not be refunded.

4.8. By accepting the Offer, the Donor confirms that he/she agrees with all the terms of the Offer, and fully understands and agrees with the subject matter and conditions of the Agreement.

4.9. The costs associated with making charitable donations (transfer fees, taxes, fees, etc.) shall be borne by the Donor, if such costs are charged to the Donor, and by the NGO, if such costs are charged to the NGO The Donor realizes and agrees that part of his/her charitable donation may be used by the NGO to cover the costs associated with making charitable donations, if such costs are charged by third parties, that a part of his/her charitable donation may be used by the NGO to cover expenses related to making charitable donations, if such expenses are charged by third parties by default and cannot be avoided (for example, payment system acquiring fees, bank fees, etc.) The person making the donation agrees to reallocate the funds and use them for other projects if the fundraiser is closed or irrelevant.

4.10 The person making the donation agrees that the amount of the donation is non-refundable.
Rights and obligations of the parties
5.1. The NGO undertakes to use the funds of the donation of the Donor strictly in accordance with the legislation of Ukraine and only within the framework of its statutory activities.

5.2. The NGO has the right to independently determine the directions for using the charitable donation in accordance with its statutory activities and the legislation of Ukraine, except in cases where the Donor has defined a specific purpose of the donation by a separate agreement with the NGO. Therefore, if the specific purpose of the charitable donation is not defined by the Donor, it is considered that the donation is made for the implementation of the NGO's statutory activities.

5.3. The Donor agrees that, in accordance with the Law of Ukraine "On Charitable Activities and Charitable Organizations", the NGO may use a part of the funds received from the Donors to finance its administrative expenses. The number of expenses for maintaining the NGO (administrative expenses of the NGO) cannot exceed 20% of its budget for the current year.

5.4. The Donor has the right to receive information about the use of his/her charitable donation. For this purpose, the NGO places monthly financial reports on the Website, which include information about (i) the number of donations received by the NGO during the reporting period, and (ii) the expenses of the NGO during the reporting period. At the request of the Donor, the NGO may also confirm the targeted use of the charitable donation with additional documents.

5.5. By providing a charitable donation, the Donor unequivocally confirms (i) his/her legal capacity, (ii) the voluntary conclusion of the legal transaction, (iii) that the subject of the charitable donation is not under seizure, arrest, not encumbered with any other rights of third parties and was not acquired in violation of the norms of the Law of Ukraine No. 361-IX "On Prevention and Counteraction to Legalization (Laundering) of Proceeds from Crime, Financing of Terrorism and Financing of the Proliferation of Weapons of Mass Destruction".
Final Provisions
6.1. By accepting the Offer, the Benefactor consents to the processing of their personal data, which are disclosed by the Benefactor when making a charitable donation, for the purpose of fulfilling the terms of the Agreement. Such personal data may include name, surname and patronymic, address, place of residence, email address, telephone number, and (when transferring funds to the current account of the NGO through bank institutions) bank details. Permissible types of personal data processing include their collection, registration, accumulation, storage, adaptation, alteration, renewal, use and dissemination (distribution, implementation, transmission), depersonalization, and destruction. The NGO undertakes not to disclose the Benefactor's personal data to third parties without the Benefactor's permission, except in cases where such disclosure is required by state authorities or otherwise required by Ukrainian law. The Benefactor confirms that they have been informed of the rights established by the Law of Ukraine "On Personal Data Protection." The extent of the Benefactor's rights as a personal data subject in accordance with the Law of Ukraine "On Personal Data Protection" is known and understood by them.

6.2. The Benefactor agrees that their contact information may be used by the NGO to send letters and messages, including electronic ones. At the same time, the NGO undertakes not to provide information about the Benefactor's contact details to third parties, except in cases directly provided for by Ukrainian law.6.3. In the event of disputes between the parties to this Agreement, they must be resolved through negotiations. If it is impossible to settle through negotiations, the disputes are considered by courts in the manner established by law.
